1. Acceptance of Terms

By accessing, browsing, or using Cliporio ("Service", "Platform", "we", "us", or "our"), you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions ("Terms"). These Terms constitute a legally binding agreement between you ("User", "you", or "your") and Cliporio.

If you do not agree to these Terms, you must immediately discontinue use of our Service. Your continued use of the Service following any modifications to these Terms constitutes acceptance of those modifications.

You must be at least 18 years of age or the age of legal majority in your jurisdiction to use this Service. By using the Service, you represent and warrant that you meet this requirement.

2. Service Description

Cliporio is an AI-powered video generation platform that enables users to create professional-quality videos using artificial intelligence technology. Our Service includes:

  • AI-driven video generation from text prompts and descriptions
  • Multiple video categories including advertising, social media content, pitch videos, viral content, and more
  • Token-based payment system for video generation
  • User dashboard for managing videos and account settings
  • Video download and export functionality

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time without prior notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

3. User Accounts

To access certain features of our Service, you must create an account. When creating an account, you agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Maintain the security and confidentiality of your login credentials
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate your account if any information provided proves to be inaccurate, not current, or incomplete, or if we suspect fraudulent or abusive activity.

You may not transfer your account to another person or entity without our prior written consent. You may not create multiple accounts for the purpose of circumventing usage limits or restrictions.

4. Token System and Payments

Our Service operates on a token-based system. Key terms regarding tokens:

  • Token Purchase: Tokens are purchased in packages through our secure payment system. All prices are displayed in USD unless otherwise specified.
  • Token Validity: Purchased tokens do not expire and remain in your account until used.
  • Token Usage: Each video category has a specific token cost. Token costs are clearly displayed before video generation.
  • Non-Transferability: Tokens cannot be transferred between accounts or exchanged for cash.
  • Refunds: Token purchases are generally non-refundable except as specified in our Refund Policy.

We reserve the right to modify token prices and package offerings at any time. Price changes will not affect tokens already purchased.

5. Content Ownership and Licensing

Your Content: You retain all ownership rights to the original content, prompts, and materials you provide to our Service ("Input Content"). By submitting Input Content, you grant us a limited, non-exclusive license to process and use such content solely for the purpose of providing the Service.

Generated Content: Videos and content generated by our AI ("Generated Content") are licensed to you for commercial and personal use, subject to the following conditions:

  • You may use Generated Content for marketing, advertising, social media, and business purposes
  • You may not resell, redistribute, or sublicense Generated Content as stock footage or templates
  • You may not claim that Generated Content was created entirely by you without AI assistance
  • You are responsible for ensuring your use of Generated Content complies with applicable laws

AI Limitations: AI-generated content may occasionally produce unexpected or imperfect results. We do not guarantee that Generated Content will be free from errors, artifacts, or inaccuracies.

6. Prohibited Uses

You agree not to use our Service to create, distribute, or promote content that:

  • Is illegal, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, or invasive of another's privacy
  • Promotes discrimination, bigotry, racism, hatred, harassment, or harm against any individual or group
  • Contains graphic violence, gore, or content depicting real-world violence
  • Is sexually explicit, pornographic, or exploitative
  • Infringes any patent, trademark, trade secret, copyright, or other intellectual property rights
  • Impersonates any person or entity, or falsely states or misrepresents your affiliation
  • Contains malware, viruses, or any other harmful code
  • Promotes illegal activities or violates any applicable local, state, national, or international law
  • Creates deepfakes or manipulated media of real individuals without their explicit consent
  • Spreads misinformation, disinformation, or deliberately misleading content

We reserve the right to review content, refuse service, remove content, and terminate accounts that violate these prohibitions without refund.

7. Intellectual Property

The Service, including its original content, features, functionality, and underlying technology, is and will remain the exclusive property of Cliporio and its licensors. This includes:

  • The Cliporio name, logo, and all related names, logos, product and service names, designs, and slogans
  • The AI models, algorithms, and technology powering our video generation
  • The website design, user interface, and user experience
  • All documentation, tutorials, and support materials

You may not copy, modify, create derivative works, reverse engineer, decompile, or attempt to extract the source code of our Service without our express written permission.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
  • WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE
  • WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR QUALITY OF ANY CONTENT OR RESULTS

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CLIPORIO AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Any loss of profits, revenue, data, or business opportunities
  • Any damages arising from your use or inability to use the Service
  • Any damages arising from unauthorized access to or alteration of your data

In no event shall our total liability exceed the amount you paid to us in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless Cliporio and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorney's fees, arising out of or in any way connected with:

  • Your access to or use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights, including intellectual property rights
  • Any content you submit, post, or transmit through the Service

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Poland, without regard to its conflict of law provisions.

Any dispute arising from or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved in the courts of Poland, with exclusive jurisdiction in Warsaw.

The Service is operated by ANHIVE Sp. z o.o., a company registered in Poland (KRS: 0001191991), with registered office at ul. Łucka 15, lok. 411, 00-842 Warszawa, Poland.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Service after such modifications constitutes acceptance of the updated Terms.

We encourage you to review these Terms periodically to stay informed of any changes.

13. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.
